Terms of Service

1. Acceptance of Terms

By accessing or using the ThaiDirect website at thaidirect.shop ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

ThaiDirect is operated by Eagle Design & Consultancy Co., Ltd., a company registered in Thailand ("ThaiDirect", "we", "us", or "our").

2. Description of the Platform

ThaiDirect is a business-to-business (B2B) marketplace and sourcing directory that:

• Provides a directory of Thai manufacturers and their products sourced from publicly available trade databases including ThaiTrade;
• Offers a Global Landed Cost Calculator to estimate the delivered cost of goods from Thailand to various destination countries;
• Facilitates Request for Quotation (RFQ) submissions whereby buyers can request to be connected with relevant Thai manufacturers;
• Provides educational content about sourcing from Thailand.

Important: ThaiDirect is a marketplace and directory service only. We are not a party to any transaction between buyers and manufacturers. We do not buy, sell, or hold inventory. All commercial agreements are made directly between the buyer and the manufacturer.

3. User Eligibility

The Platform is intended for use by business entities and individuals engaged in or contemplating commercial import/export or sourcing activities. By using the Platform you represent that:

• You are at least 18 years of age;
• You have the legal authority to enter into commercial agreements on behalf of yourself or your organisation;
• Your use of the Platform complies with all applicable laws in your jurisdiction.

4. Buyer Responsibilities

As a buyer using the Platform, you acknowledge and agree that:

• You are solely responsible for conducting your own due diligence on any manufacturer before placing an order;
• Any purchase agreement, including terms of payment, quality standards, delivery, and warranty, is made directly between you and the manufacturer;
• You are responsible for understanding and complying with all import regulations, duties, taxes, and compliance requirements in your destination country;
• Landed cost estimates provided by our calculator are indicative only and do not constitute a legally binding quote;
• You will not use the Platform for any unlawful purpose, including importing prohibited goods or circumventing trade sanctions.

5. Manufacturer Listings & Data Accuracy

Product listings, manufacturer profiles, pricing data, and contact information on the Platform are sourced from publicly available trade databases and may not be current, complete, or accurate. ThaiDirect makes reasonable efforts to maintain data quality but:

• Does not guarantee the accuracy, completeness, or currency of any listing;
• Does not verify that manufacturers are currently trading, financially solvent, or able to fulfil orders;
• Does not endorse any particular manufacturer;
• Prices shown are indicative FOB (Free On Board) prices and are subject to change without notice.

6. Request for Quotation (RFQ) Service

When you submit an RFQ through the Platform, you authorise ThaiDirect to share your contact details and sourcing requirements with relevant Thai manufacturers for the purpose of connecting you with potential suppliers. By submitting an RFQ you:

• Consent to being contacted by manufacturers or ThaiDirect representatives regarding your request;
• Acknowledge that ThaiDirect does not guarantee a response from any manufacturer;
• Understand that ThaiDirect's matching service is provided in good faith but without warranty of suitability.

7. Intellectual Property

All original content on the Platform, including text, graphics, logos, and software, is the property of Eagle Design & Consultancy Co., Ltd. or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works from Platform content without our prior written consent. Product images displayed are the property of respective manufacturers and are used with permission or under fair use for directory purposes.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• ThaiDirect provides the Platform on an "as is" and "as available" basis without warranties of any kind;
• ThaiDirect shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform or reliance on any information contained herein;
• ThaiDirect's total liability to you for any claim arising from use of the Platform shall not exceed USD 100;
• ThaiDirect is not liable for any transaction disputes, product quality issues, delivery failures, or any other matter arising between buyers and manufacturers.

9. Indemnification

You agree to indemnify and hold harmless ThaiDirect, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Thai Arbitration Institute, with proceedings conducted in Bangkok, Thailand, in the English language.

12. Changes to Terms

ThaiDirect reserves the right to modify these Terms at any time. We will update the "Last updated" date at the top of this page. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
